ProText Mobility Chairman Reports 831.3 Million TXTM Common Shares; Management Reaffirms No Preferred Conversions

Posted on

Reported holdings increased by 55.6 million shares since May 20; existing preferred-share rights remain unchanged as ProText advances financial reporting and institutional-readiness initiatives.

JOHANNESBURG, South Africa, Oct. 13, 2026 – PRISM MediaWire (Press Release Service – Press Release Distribution) – ProText Mobility, Inc. (OTC: TXTM) (“ProTex”) announced that Chairman and President Dr. Jamaloodeen reported direct beneficial ownership of 831,301,460 common shares as of Oct. 6, 2026, in a voluntary Form 4 accepted by the U.S. Securities and Exchange Commission on Oct. 8, 2026.

According to the company, the reported holdings increased by 55,646,456 common shares from the 775,655,004 shares reported as of May 20, 2026. Jamaloodeen confirms that he has never sold TXTM common shares or converted his preferred securities into common stock. Chief Executive Officer Dylon Du Plooy likewise confirms that he has never converted his preferred holdings.

The executives presently intend to maintain their non-conversion approach. Their preferred securities retain their existing contractual and corporate rights; these intentions do not constitute irrevocable commitments or changes to those rights.

Ownership and capital structure

ProText says Jamaloodeen accumulated existing common shares through OTC Markets transactions and private purchases from shareholders, independently of preferred-share conversion rights. According to the company, these purchases did not require new common-share issuance and did not dilute shareholders through issuance of additional shares for those purchases.

The company states that the Oct. 8 Form 4 also reports Jamaloodeen’s ownership of 66,667 Series D Convertible Preferred Shares and 33,333 Series A Convertible Preferred Shares.

Dr. Jamaloodeen said: “I believe leadership should carry responsibility alongside shareholders. When I invest my personal capital in TXTM common shares, I participate in the economic performance of the same class of common equity held by our public shareholders. I experience the consequences of changes in the market value of that investment, just as other common shareholders do. My decision to accumulate these shares has never been about seeking recognition for the number I hold. It is about demonstrating the depth of my commitment. I believe in ProText Mobility, its underlying assets, its technologies, its human capital and the international opportunities we are developing. I have chosen to participate personally in the long-term value we are working to create. I have not sold my TXTM common shares. I have not converted my preferred shares. My present intention is to remain substantially invested. These are deliberate decisions reflecting my confidence in the Company’s long-term direction.”

Personal financing and exchange-listing objectives

Jamaloodeen intends to evaluate personal financing alternatives, including secured arrangements where suitable counterparties and commercial terms are available. Any such transactions would be separate from ProText’s corporate capital requirements unless otherwise expressly agreed and disclosed. Secured financing may expose pledged securities to enforcement or sale.

No reverse stock split is being announced or proposed as part of this ownership update. ProText continues evaluating international regulated-exchange listing opportunities. Any future capitalization measures considered necessary for a listing would require separate evaluation, applicable approvals and appropriate shareholder disclosures. No exchange listing is guaranteed.

Financial reporting and institutional development

ProText states that it has completed its 2022 and 2023 financial audits and is progressing its 2024 and 2025 International Financial Reporting Standards (IFRS) audit program. Its priorities include financial reporting, independent assessment of qualifying assets, corporate governance, biotechnology and agricultural development, proprietary technologies and digital-asset infrastructure.

As historical background, ProText announced on Sept. 28, 2026, that ABSA Bank had confirmed Jamaloodeen’s participation as its first pilot client in the bank’s digital-asset custody onboarding process. The company says this development was included in its voluntary Form 8-K accepted on Sept. 30, 2026. The pilot concerns onboarding and does not establish completion of the company’s wider institutional roadmap. ProText’s digital-asset initiatives and Jamaloodeen’s personally held securities remain distinct.

Shareholder engagement

Management describes its shareholder philosophy through Ubuntu — “I am because you are”; Simunye — “We are one”; and RAOK — “Random Acts of Kindness.” ProText links these principles to mutual respect, constructive dialogue, accountability and execution.
